The various chapters cover such topics as the law and the basic legal principles impacting entrepreneurs and managers, the foundational business laws that entrepreneurs and managers in the United States must become aware of and understand, as well as other important legal topics such as constitutional law, administrative law, torts, products liability, crimes, contract law, sales and agency laws, commercial paper, various forms of business organizations, and debtors and creditors laws. The study of this legal material will be very beneficial to entrepreneurs, managers, and human resources professionals.

This edition to this book seeks to make the reader more legally knowledgeable and astute. The book attempts to identify as many legal challenges as possible in establishing, operating, and managing a business in today's very competitive global business environment. The book recommends strategies and tactics to overcome these challenges and to achieve a successful business in a lawful and moral manner. Yet overcoming business law challenges is not the only goal of this book. The authors naturally want the reader to be able to more clearly foresee legal problems so as to avoid them; but the authors also want the reader to learn how to use the law and the legal system to more effectively establish, manage, and develop the business. Accordingly, an important objective of this edition of this book is to focus on "preventative law," that is, making the business person aware of the law, its applicability to business, and the legal consequences of business decision-making. The goal is to proactively avoid legal problems before they materialize, as opposed to the "trials and tribulations" (and "trials" perhaps literally) of reactively dealing with them when they occur. One major purpose of this book, therefore, is to help business people recognize legal risks and thus avoid legal liability.

The authors are most grateful for all the support and encouragement to publish the 4th edition and particularly for the many most helpful suggestions for improving the book from colleagues, managers, human resources professionals, students, friends, and readers from across the globe. About the Author
Cavico, Frank J.: - Frank J. Cavico is a Professor Emeritus of Business Law and Ethics at the H. Wayne Huizenga College of Business and Entrepreneurship of Nova Southeastern University. He was the principal creator of the school's required MBA law and ethics course: "The Values of Legality, Morality, and Social Responsibility in Business"; and he presently serves as Key Professor for that course. In 2000, he was awarded the Excellence in Teaching Award by the Huizenga School. In 2006, he was honored as Professor of the Year by the Huizenga School; and in 2012 he received the Faculty Member of the Year Award from the Huizenga School. His fine record is manifested by numerous research and writing endeavors, principally law review and management journal articles in the broad sectors of business law and ethics as well as a business ethics textbook, Business Ethics: Transcending Requirements through Moral Leadership, co-authored with Dr. Bahaudin G. Mujtaba. He also is co-author, along with Dr. Mujtaba, of the books Age Discrimination in Employment and Legal Challenges for the Global Manager and Entrepreneur. Professor Cavico holds a J.D. degree from St. Mary's University School of Law and a B.A. from Gettysburg College. He also possesses a Master of Laws degree from the University of San Diego School of Law and a Master's degree in Political Science from Drew University. Professor Cavico is licensed to practice law in the states of Florida and Texas. He has worked as a federal government regulatory attorney and as counsel for a labor union; and has practiced general civil law and immigration law in South Florida.Mujtaba, Bahaudin G.: - Dr. Bahaudin G. Mujtaba is a Professor of Management with the H. Wayne Huizenga College of Business and Entrepreneurship at Nova Southeastern University (NSU). Bahaudin has worked as an internal consultant, trainer, and teacher in retail management as well as in the human resources aspect of the corporate arena. Dr. Mujtaba also worked in retail management for 16 years. He was awarded the prestigious Faculty of the Year Award for the 2011 and 2005 Academic Years at the School of Business and Entrepreneurship of NSU. He attended Habibia High School in Afghanistan, Fort Myers High School in the USA, Edison Community College, University of Central Florida, Nova University, and Nova Southeastern University in the United States. His doctorate degree is in Management, and he has two post-doctorate specialties: Human Resource Management and International Management. Bahaudin is author and co-author of twenty books and three hundred academic as well as professional journal articles. During the past thirty years he has had the pleasure of working in the United States, Brazil, Bahamas, China, Vietnam, India, Pakistan, Afghanistan, St. Lucia, Grenada, Myanmar, Thailand, and Jamaica.
